Using any Fluid Innovation site means that you agree to be bound by the terms and conditions provided herein. If you do not agree please do not use or access VirtualVentures.com or any Fluid Innovation site.

Description of Service

Fluid Innovation Group, Inc. (FI) provides a venue for Users to review technology assets, sharpen their investing and strategic business skills, and to market technology assets and find technologies to license or acquire.

Asset Summaries are provided "AS-IS" and FI assumes no responsibility for the timeliness, deletion, or failure to store any user communications or personalization settings.

FI is not directly involved in the actual transaction between buyers and sellers. As such, FI cannot guarantee the truth or accuracy of the information, the quality, safety, legality or availability of the technology assets advertised, the ability of sellers or buyers to consummate a transaction. You agree to look solely to the asset owner/ seller for any claims you may have regarding their information.

No Agency

Conducting transactions through leads generated through FI does not create an agency agreement. FI does not act as your agent, partner or joint venturer. Unless otherwise expressly agreed in writing, and duly authorized by officers of FI you understand that no agency relationship exists between us. You are not allowed to represent FI or make commitments on our behalf.

Membership Eligibility

Virtual Ventures and the FI Marketplace are public forums for members to hone their investing skills, exchange ideas and information, and explore commercial business opportunities. As such, this site is not open to children or minors. Please do not use this website, or send any personal information to us, if you are under 18 years of age.

Your Registration Obligations

You agree to: (a) provide true, accurate and current information about yourself as prompted by the registration form and promptly update your profile to keep it true, accurate and current.

Member Account, Password & Security

Upon completing the registration process, you will have access to the community via your email and personally created password. You are responsible for maintaining the confidentiality of your password and account, and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify us of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. We cannot and will not be liable for any loss or damage arising from your failure to comply with this Section.

Member Conduct

You understand that all information, data, text, software, media of any kind, messages or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of Content originator. This means that you, and not FI, are responsible for all Content that you upload, post, email, transmit or otherwise make available on our sites. While FI makes every effort to ensure the integrity of such content, FI does not entirely control the posted Content and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will FI be liable in any way for any Content, including, but not limited to, for any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available.

You agree to not use any FI site to:

• upload, post, email, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
• impersonate any person or entity, including, but not limited to, FI personnel, an asset owner, or falsely state or otherwise misrepresent your affiliation with a person or entity;
• forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Service;
• upload, post, email, transmit or otherwise make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
• upload, post, email, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party;
• upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;
• upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;

You acknowledge that FI may not pre-screen Content, but that FI and its designees shall have the right (but not the obligation) in their sole discretion to remove any Content. Without limiting the foregoing, FI and its designees shall have the right to remove any Content that violates these Terms of Use or is otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. In this regard, you acknowledge that you may not rely on any Content created by or submitted to us, including, without limitation, information in postings, and in all parts of the site.

You acknowledge, consent and agree that FI may access, preserve, and disclose your account information and Content if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce these Terms of Use; (c) respond to claims that any Content violates the rights of third-parties; (d) respond to your requests for inquiries; or (e) protect the rights, property, or personal safety of FI, its users and the public.

Any unauthorized reproduction, publication, further distribution or public exhibition of the materials provided on the Service, in whole or in part, is strictly prohibited.

"Publicly accessible" areas of the Service are those areas of the sites that are intended by FI to be available to the general public. By way of example, publicly accessible areas would include Blogs or the Marketplace discussion areas.

Virtual Currency

Please note that "Virtual Ventures Bucks" (V$) that you may acquire at virtualventures.com are not real money and have no real cash surrender or redemption value. FI does not provide any right of redemption of V$ for monetary value whatsoever. And no, you cannot buy technology assets with V$.

Referrals; Requests for Information

We trust that our members are technically savvy business people with above average intelligence (who else would be attracted to our sites). That being said, we would be remiss not to mention a few guidelines. Remember, we post real technology assets available for license or sale. Please only submit real legitimate inquiries and make only credible referrals.

Professionalism Code of Conduct

Referrals

• Referrals should only be sent to people you know personally
• Remember, you can only make 5 referrals per asset - Please do not SPAM
• Please only send referrals to people with a high likelihood of interest.
• Only consummated referrals are included in Leader board rankings so the number of referrals you send will not improve your standing - only referrals that receive a response from an interested party will be credited.
• FI values our users' privacy as well as that of the members of the business community at large. We respond promptly to complaints about unwelcome referrals.
• Repeat offenders will lose their referral privileges.

Commercialization Inquiries

We are proud to provide a valuable service to buyers and sellers alike. After viewing Asset Summaries, any User with a legitimate interest may submit a request for more information. Please only contact us with serious inquiries. We will respond promptly to frivolous and /or abusive contacts. Repeat offenders will be blocked from making inquiries.

Termination

You agree that FI may, under certain circumstances and without prior notice, immediately terminate your account, and your access to our sites. Cause for such termination shall include, but not be limited to, (a) breaches or violations of these Terms of Use or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by you (self-initiated account closures), (d) discontinuance or material modification of our sites (or any part thereof), and (e) extended periods of inactivity. Termination of your account includes (a) removal of access to all offerings, including but not limited to the Community and Marketplace, (b) deletion of your password and all related information, files and content associated with or inside your account (or any part thereof), and (c) barring further use of the Service. Further, you agree that all terminations for cause shall be made in FI's sole discretion.

You agree that we may remove the content you have posted, submitted or otherwise made available for inclusion on the Service if we decide it is harmful, misleading or otherwise inappropriate for our viewers.

Public Information

You understand that discussions and other information posted on our sites will be made publicly available. You are accordingly advised not to disclose confidential or sensitive information.

International Users

Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable Content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside.

Proprietary Rights & Copyright

All rights in and to the FI sites, the written components thereof, the services available and any materials provided in connection therewith are proprietary to FI. The content and all the materials utilized therein are protected by copyright, both with respect to individual content and as a collective work and/or compilation, pursuant to U.S. copyright laws, international conventions, and other copyright laws. You may not modify, publish, create derivative works from, distribute or otherwise exploit any of the content or software comprising any FI site without prior written consent. You may, however, print portions of FI content for individual use, such as the Asset Summaries, provided that you maintain all copyright and other notices contained in such content.

FI grants you a personal, non-transferable and non-exclusive right and license to use the object code of its Software on a single computer; provided that you do not (and do not allow any third party to) copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Software. You agree not to modify the Software in any manner or form, or to use modified versions of the Software, including (without limitation) for the purpose of obtaining unauthorized access. You agree not to access any FI site by any means other than through the interface that is provided for user access by FI.

Links

FI may provide, or third parties may provide, links to other websites or resources. Because we have no control over third party websites and resources, you acknowledge and agree that FI does not endorse and is not responsible or liable for any Content, advertising, products, or other materials on or available from such websites or resources. You further acknowledge and agree that FI shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods or services available on or through any such website or resource.

Service Interference

You agree not to use any device, software or routine to interfere with the proper working of our sites or which is intended to damage, interfere with, surreptitiously intercept or expropriate any system, data or personal information. You agree not to take any action that imposes an unreasonable load on our infrastructure. You agree not to take any actions that may undermine the integrity of any feedback system, such as: leaving feedback for yourself; leaving feedback for other users using secondary accounts or third parties; or leaving feedback intended to influence action that is beyond the scope of our sites. • c. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF ANY FI SITE IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

FI provides access to a many resources, including, various communications tools, forums, personalized content. As such, we may from time to time update this Terms of Use. Any new features shall be subject to this Terms of Use Agreement. Please check back early and often for any changes.

Virtual Ventures®, Fluid Innovation^SM, Fluid Licensing System^TM, LicenseMatch^TM and any future names, slogans or logos are trademarks of FI. All other trademarks belong to their respective owners (collectively, the "Marks"). Without our prior permission, you agree not to display or use in any manner, these or any other Marks belonging to us. You may not use the Marks in any way which is unlawful, threatening, libelous, defamatory, obscene, scandalous, inflammatory, pornographic, or profane, or in any other way that could give rise to any civil or criminal liability under the law or otherwise diminish the goodwill and integrity of the Marks. The Marks may not be used to promote products and services, or to create the impression of an endorsement.
